Terms of Service

The terms that govern access to and use of cGenie, operated by NeuralAi SpA.

This is a courtesy translation. In case of any conflict or discrepancy, the Spanish-language version of this document is the one that governs.

1. Acceptance

These Terms govern access to and use of cGenie.

By creating an account or using the Service you accept these Terms and our Privacy Policy.

If you use cGenie on behalf of a company or organization, you represent that you have sufficient authority to do so.

Rights that applicable law considers non-waivable are not limited by these Terms.

2. Operator

cGenie is a product operated by NeuralAi SpA, Chile.

3. What cGenie is

cGenie is a SaaS platform aimed at simplifying and automating activities related to digital marketing and commercial management.

Features may include:

  • Brand memory and context
  • campaign generation
  • Google Ads
  • ad groups
  • ads and assets
  • keywords
  • demand research
  • landing pages
  • AI-assisted editing
  • page publishing
  • leads
  • CRM
  • audits
  • conversations
  • calendar
  • integrations
  • other features enabled depending on the plan

The availability of each feature depends on the plan and the product's current state.

4. Main Account, users, and Brand

A Main Account or workspace may contain:

  • users
  • one or more Brands
  • campaigns
  • landing pages
  • leads
  • integrations
  • other associated assets

The owner or administrator may invite users and assign the available permissions.

Each user is responsible for protecting their credentials.

We may require email verification before considering an account fully activated.

5. Free plan

cGenie offers a free plan and paid plans. The free plan lets users try the product before purchasing a subscription.

Depending on the offer in effect, the Free plan may include, among other limits:

  • 1 Brand
  • 1 active campaign
  • 100 AI credits per month
  • 1 published Landing Page, with the cGenie watermark
  • limited CRM
  • one audit
  • Google Ads, campaign publishing, Landing Premium, Conversations, or Calendar features only when the plan in effect expressly includes them

The exact features currently in effect are shown on the cGenie plans page.

6. Paid plans

cGenie offers paid plans such as:

  • Single Brand
  • Multi-Brand
  • Agency
  • White Label

As of the date of this version, the published monthly offer contemplates reference prices of:

  • Single Brand: US$59/month
  • Multi-Brand: US$139/month
  • Agency: US$349/month
  • White Label: US$589/month

The applicable limits on Brands, campaigns, users, credits, features, and add-ons will be those displayed on the pricing page and during checkout.

Where an annual option exists, its price and discount will be shown before you subscribe.

In the event of a discrepancy between this document and a more recent commercial offer, the terms and limits that were clearly displayed and accepted by the customer during signup will apply to that customer, without affecting acquired rights or non-waivable rules.

7. Subscriptions and automatic renewal

Paid plans are recurring monthly subscriptions unless checkout expressly states a different billing period.

Unless checkout expressly states otherwise, a paid subscription renews automatically at the end of each period.

Before completing a purchase, the price, currency, applicable taxes, billing period, and essential renewal conditions will be shown.

The user may cancel future renewals through the billing portal available in cGenie or Paddle.

Cancellation does not immediately remove paid access: the service continues until the end of the paid period unless applicable law requires otherwise.

8. Payment processing

Before payment is completed, Paddle is identified as the seller for transactions made through its platform.

Paddle processes payment and acts as Merchant of Record for transactions made through its platform. During purchase, the customer is also subject to Paddle's Buyer Terms and applicable policies.

For those transactions, Paddle handles:

  • payment processing
  • receipts
  • taxes associated with the transaction
  • renewals
  • certain refund processes
  • disputes and chargebacks

cGenie remains responsible for providing the contracted service in accordance with these Terms.

9. Upgrade

When a user upgrades to a higher plan, the change may take effect immediately.

The corresponding price, adjustment, proration, or charge will be as disclosed during the change process and handled by the billing system used.

10. Downgrade

A downgrade requested during a paid period will, as a general rule, take effect in the following billing cycle.

Until then, the conditions of the current paid plan remain in effect.

Once the downgrade takes effect, the limits of the new plan may apply.

If the account exceeds those limits, we may require the user to reduce resources or restrict the creation of new resources, without silently deleting existing data.

11. Cancelling a subscription

The user may cancel a plan renewal through the billing portal available in cGenie or Paddle.

Cancellation:

  • prevents the next renewal
  • does not immediately delete the account
  • keeps the current plan in effect until the end of the paid period unless applicable law requires otherwise

Once that period ends, cGenie may keep the account for 30 days in a limited or read-only mode to allow for review, export, or reactivation.

After that, access may be suspended and data retained temporarily in accordance with our Privacy Policy.

12. cGenie Credits

Credits are internal units of use within cGenie.

They are not money, electronic currency, deposits, or financial instruments.

They cannot:

  • be withdrawn as money
  • be transferred outside of cGenie
  • be sold between users
  • be redeemed for cash

Credits included in plans

Credits included in a subscription:

  • renew each cycle
  • do not accumulate
  • unused included credits expire at the end of the corresponding cycle

Additional credits or add-ons

Credits purchased additionally through add-ons:

  • are not lost simply by moving into the following month
  • may carry over to later periods as long as they have not been consumed
  • will be subject to any specific conditions disclosed at the time they were purchased

When the plan ends

Remaining included credits expire when the contracted period ends.

Additional credits will be subject to the conditions under which they were purchased and the status of the account.

Upon final account closure, any remaining internal credits become unusable and cannot be converted into money.

13. Failed operations

An AI operation that fails for technical reasons before completion should not permanently consume the credits reserved for that operation when the system can determine the failure under its metering mechanism.

cGenie may use reservation, confirmation, and reconciliation mechanisms to avoid duplicate or incorrect internal charges.

14. Refund policy

cGenie's payments are processed by Paddle.com, which acts as Merchant of Record for the transaction. Refunds are governed by Paddle's Refund Policy.

Cancelling a renewal is not a refund request. See our Refund Policy for full details, including timeframes; nothing in this clause limits non-waivable buyer rights.

15. Non-payment

When a renewal charge cannot be collected, the billing provider may make attempts to recover payment.

The billing provider handling a purchase may allow a recovery period before revoking the benefits of an unpaid subscription.

During that process cGenie may temporarily maintain access and subsequently restrict it if payment is not completed.

Non-payment, a chargeback, fraud, or abuse of payment mechanisms may result in suspension or termination of access, subject to applicable law.

16. Campaigns and Google Ads

cGenie may assist in generating and publishing Google Ads campaigns.

The customer retains ultimate responsibility for:

  • their Google Ads account
  • budgets
  • payment methods
  • bids
  • content
  • targeting
  • policy compliance
  • reviewing campaigns before publication

The advertising budget paid to Google is independent of the price of cGenie.

Google bills the customer directly for their Google Ads advertising spend. cGenie does not manage, process, or hold those funds, and does not act as a payment intermediary for the advertising budget.

17. Advertising results

We do not guarantee:

  • impressions
  • clicks
  • rankings
  • leads
  • sales
  • conversions
  • CPC
  • CPA
  • ROAS
  • revenue
  • specific results

Estimates, recommendations, and demand research are support tools, not guarantees.

18. Artificial intelligence

cGenie uses AI to create, analyze, or modify content.

Generated content may contain:

  • errors
  • incorrect information
  • omissions
  • unsuitable outputs
  • claims that require verification

The customer must review the output before publishing it.

19. Customer content

The customer retains whatever rights it holds over the materials it provides to cGenie.

By using the Service, the customer grants NeuralAi SpA the permissions necessary to process, store, transform, and transmit those materials solely to the extent needed to provide the Service.

The customer represents that it has the right to use the materials it submits.

20. Outputs

Subject to these Terms and third-party rights, the customer may use the generated content for its account.

Due to the nature of AI systems, we do not guarantee exclusivity of the output or that third parties will not obtain similar results.

21. Landing pages

The customer is responsible for the final content of its landing pages.

cGenie may require that a Brand have certain legal documents published before allowing a landing page to be published.

The customer is responsible for ensuring that its pages comply with the legal obligations applicable to its business.

22. Landing Pages and Pageviews

Each paid cGenie plan includes a set number of published Landing Pages, depending on the plan. The exact limits for each plan are shown on the cGenie pricing page.

The Free plan allows publishing 1 Landing Page, with the cGenie watermark.

Pageviews

cGenie may set reasonable usage limits associated with traffic to published Landing Pages, including monthly pageview quantities.

Where they exist, pageview quotas will be measured at the Main Account or workspace level, as a monthly pool shared among the different Brands, campaigns, and Landing Pages in that account.

We are currently measuring and defining the pageview quotas applicable to each plan. As long as a plan does not expressly display a pageview quota, no hidden limit should be understood to exist, and no automatic block will be applied on this basis.

When we define pageview quotas, we will display them visibly on the pricing page, in the plan information, or within the Main Account, before they begin to apply.

Definition of pageview

For purposes of cGenie's usage limits, a pageview corresponds to a valid load of a published Landing Page served to a visitor.

We may reasonably exclude from the pageview count, among others: previews performed from the landing page editor; internal operations; health checks; requests for files or assets; traffic identified as coming from bots; and other technical traffic that does not represent an actual visit from a user. We cannot guarantee the absolute exclusion of all bot traffic, since its identification depends on reasonable but not infallible technical methods.

Excess pageviews

If an account exceeds the pageview quota included in its plan, cGenie may, among other alternatives: notify the customer; offer additional capacity; offer add-ons; suggest a plan change; or another reasonable alternative.

A first instance of excess pageviews will not automatically interrupt the operation of the customer's Landing Pages. We aim to provide reasonable advance notice before applying any measure. We reserve the ability to take immediate action only in cases of abuse, fraud, security risk, or extraordinary risk to the service's infrastructure.

23. Leads

Leads captured through the customer's landing pages fall within the scope of the customer's relationship with those prospects.

The customer is responsible for using that data lawfully.

cGenie provides infrastructure to store and manage them according to the features contracted.

24. Export

cGenie will allow leads to be exported using the available tools before an account's deletion process is completed.

We may enable additional exports of other types of information.

The customer is responsible for performing any exports it needs during the available period.

25. Final account closure

Final closure is distinct from cancelling the renewal of a subscription.

When final closure is requested:

  • public landing pages are unpublished
  • new activity is prevented
  • disconnection from Google Ads and other integrations begins
  • a 30-day grace period begins
  • the customer may export available information during that period

After the grace period, data is deleted or anonymized in accordance with our Privacy Policy and applicable legal exceptions.

26. Retention after cancellation

When a subscription ends without the customer immediately requesting final closure:

  • first 30 days: limited / read-only account
  • following 60 days: data may remain retained for recovery or reactivation
  • approximately 90 days from plan termination: operational data may be scheduled for deletion if there was no reactivation

Data that must be retained by law, or for security, fraud, audit, or defense-of-rights purposes may be kept for longer.

27. Acceptable use

You may not use cGenie for:

  • illegal activities
  • fraud
  • phishing
  • malware
  • abusive spam
  • infringement of third-party rights
  • unauthorized access
  • circumventing technical limits
  • attacks on infrastructure
  • deliberately deceptive use
  • activities prohibited by connected platforms

28. Third-party services

cGenie relies on external providers.

This may include providers of:

  • infrastructure
  • databases
  • artificial intelligence
  • Google Ads
  • billing
  • email
  • observability
  • storage

We cannot guarantee that a third-party service will remain available indefinitely.

We may adapt integrations when a provider changes its APIs, terms, or capabilities.

29. Availability

We work to keep cGenie available and reliable.

Unless a specific written SLA exists, we do not guarantee uninterrupted operation.

We may perform maintenance, updates, or changes required for technical, legal, or security reasons.

30. Suspension

We may temporarily suspend an account where there is:

  • fraud
  • abuse
  • non-payment
  • serious breach
  • security risk
  • a legal obligation
  • a threat to infrastructure or third parties

Where reasonably possible, we will inform the customer and offer an opportunity to resolve the situation.

31. cGenie intellectual property

NeuralAi SpA retains the rights to:

  • cGenie
  • code
  • design
  • brand
  • interfaces
  • documentation
  • proprietary technology

These Terms do not transfer any intellectual property in the product to the customer.

32. Confidentiality

The parties must protect confidential information they receive in connection with the Service and use it only for authorized purposes.

33. Data protection

The parties must comply with the obligations applicable to them under applicable law.

Where NeuralAi SpA processes data on behalf of a customer, an additional DPA may apply.

34. Limitation of warranties

To the extent permitted by applicable law, cGenie is provided on an as-available basis.

We do not guarantee that:

  • every output is accurate
  • Google Ads will approve a campaign
  • an integration will always be available
  • a campaign will achieve any particular performance, number of leads, sales, or return on advertising spend

Nothing in this clause removes non-waivable legal warranties.

35. Limitation of liability

To the extent permitted by applicable law, NeuralAi SpA will not be liable for indirect, incidental, special, or consequential damages where such exclusion is legally valid.

Where contractual liability may be legally limited, NeuralAi SpA's total liability arising from the Service will not exceed the amount actually paid by the customer for cGenie during the three months preceding the event giving rise to the claim.

This limitation does not apply where the law prohibits excluding or limiting such liability.

36. Modifications

We may modify cGenie, including its features, credits, pageview quotas, limits, and other plan capabilities, and these Terms, for technical, operational, economic, security, or service-evolution reasons.

Material changes that reduce a plan's significant capabilities will be disclosed with reasonable advance notice, by email, in-platform notification, or other appropriate means.

These changes will not retroactively modify a period already paid for, except where required by law or in situations involving security, abuse, or other exceptional circumstances.

As a general rule, new conditions will apply starting with the subscription's next renewal period.

If the customer does not wish to continue under the new conditions, it may cancel the future renewal of its subscription.

Where the law requires express acceptance of new conditions, we will request it.

37. Governing law

These Terms are governed by the laws of Chile.

Disputes will be resolved by the competent courts under applicable law.

Nothing in this clause limits any non-waivable territorial or procedural rights available to consumers.

38. Support

Support hours: Monday to Friday, 9:00 a.m. to 6:00 p.m. (Chile time).

Target response time: within 24 business hours for all plans, and within 4 business hours during support hours for the Agency and White Label plans (priority support).

These are target response times, not a service-level guarantee, and may vary.
